1. Overview decree no. 52/2013/ND-CP on e-commerce
16 January 5, 2013, The government issued Decree 52 2013 ND-CP on e-commerce replaces Decree no. 57/2006/ND-CP dated 2006.
Other than the Decree previously only including the regulatory framework aimed to clarify the principles of the Law of electronic transactions with respect to the use of data messages in commercial activities, the new Decree on electronic commerce specific rules about the activities of e-commerce as well as the state management in the field, with the aim of establishing the legal framework for transactions SHALL be conducted in a transparent manner, on the basis of healthy competition, thereby creating conditions for e-COMMERCE development, contribute to improving the competitiveness of business and construction practices to modern trade for Vietnam.
2. Content decree no. 52/2013/ND-CP on e-commerce
Decree 52 2013 ND-CP on e-commerce consists of 80 Articles divided into 7 chapters with a layout as follows:
- Chương 1: “Những quy định chung” quy định về phạm vi điều chỉnh, đối tượng áp dụng, giải thích từ ngữ, các hành vi nghiêm cấm trong TMĐT. Chương này cũng quy định hai nội dung quan trọng của quản lý nhà nước về TMĐT là Chương trình phát triển TMĐT quốc gia và hoạt động thống kê TMĐT.
- Chương 2: “Giao kết hợp đồng trong TMĐT” quy định hai nội dung lớn là giá trị pháp lý của chứng từ điện tử trong giao dịch thương mại và quy trình giao kết hợp đồng sử dụng chức năng đặt hàng trực tuyến trên website TMĐT.
- Chương 3: “Hoạt động TMĐT” quy định các nguyên tắc hoạt động TMĐT, phân loại các chủ thể tham gia hoạt động TMĐT và các hình thức website TMĐT. Chương này quy định cụ thể về hoạt động của từng loại hình website TMĐT, những nội dung thông tin cần có trên website và quyền, nghĩa vụ của các bên tham gia hoạt động TMĐT trên website.
- Chương 4: “Quản lý hoạt động TMĐT” quy định cụ thể về quản lý nhà nước đối với từng loại hình website nêu tại Chương 3: website TMĐT bán hàng và các website dịch vụ TMĐT đặc thù (bao gồm sàn giao dịch TMĐT, website khuyến mại trực tuyến, website đấu giá trực tuyến). Chương 4 cũng quy định cho các tổ chức và thương nhân thực hiện một số chức năng đặc thù về giám sát, hỗ trợ hoạt động ứng dụng TMĐT trong doanh nghiệp như chức năng đánh giá và cấp chứng nhận website TMĐT uy tín, chức năng đánh giá và chứng thực chính sách bảo vệ thông tin cá nhân của thương nhân, tổ chức, cá nhân hoạt động TMĐT, chức năng chứng thực hợp đồng điện tử trong giao dịch TMĐT.
- Chương 5: “An toàn an ninh trong giao dịch TMĐT” quy định hai nội dung lớn về bảo vệ thông tin cá nhân trong TMĐT và an toàn thanh toán trong TMĐT. Chương này quy định cụ thể trách nhiệm của các thương nhân, tổ chức, cá nhân trong việc bảo vệ thông tin cá nhân của khách hàng khi tiến hành kinh doanh TMĐT, đồng thời chi tiết hóa một số yêu cầu mang tính kỹ thuật đối với thương nhân, tổ chức, cá nhân sở hữu website TMĐT có chức năng thanh toán trực tuyến nhằm đảm bảo an toàn cho khách hàng khi tiến hành thanh toán.
- Chương 6: “Giải quyết tranh chấp, thanh tra, kiểm tra và xử lý vi phạm” quy định các nguyên tắc giải quyết tranh chấp trong TMĐT và thẩm quyền tiếp nhận khiếu nại tố cáo, thanh tra, kiểm tra và xử lý vi phạm trong TMĐT.
- Chương 7: Điều khoản thi hành gồm 2 Điều quy định về trách nhiệm thi hành và hiệu lực thi hành Nghị định.

Decree no. no. 52/2013/ND-CP on e-commerce effect from 01 September 7, 2013. The ecommerce website is the establishment and operation before the date of the Decree in force to conduct notification or registration under the provisions of this Decree within 90 days from the effective date of the Decree.
